Biography
Laya's practice spans advising on share purchase and investment agreements, shareholders' agreements, indemnity structures, and service and licensing contracts. She is well-versed in structuring and supporting both domestic and cross-border transactions, including strategic investments, business transfers, and fast-track mergers. Her analytical insights have guided clients through matters involving company law, labour and employment compliance, foreign portfolio investment, and SEBI regulations.
Experience
- Prior to joining the firm, Laya worked with reputed law firms including HSB Partners, IC Universal Legal, and Kochhar & Co. In these roles, she actively contributed to M&A and investment transactions, provided opinions on regulatory aspects under the Companies Act, 2013, and supported clients through complex legal due diligence exercises.
- Her advisory extends to nuanced issues such as related party transactions, application of labour laws to managerial personnel, trade license and Shops and Establishment Act compliance, and the corporate structure's legal validity. She has worked closely with clients in the education technology, financial services, manufacturing, and consumer goods sectors, among others.
- Laya has interned with prestigious firms including Shardul Amarchand Mangaldas, AZB & Partners, and Trilegal, where she developed her skills in corporate research, compliance analysis, and due diligence.
